1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Distinct Perspective, LLC("Company," "we," "us," or "our"), the operator of the QuorumVoice platform ("Service"). These Terms govern your access to and use of the QuorumVoice website at quorumvoice.com, including all marketing pages, blog content, and publicly accessible resources. By accessing or browsing the website, you agree to be bound by these Terms.
You must be at least 18 years of age to create an account or use the Service. By using QuorumVoice, you represent and warrant that you meet this age requirement.
Subscribers: If you subscribe to a paid QuorumVoice plan, your use of the platform is additionally governed by our Master Service Agreement, which covers subscription plans, pricing, billing, telecommunications compliance, email integration, data retention, service levels, and all other terms specific to the paid service. In the event of a conflict between these Terms and the MSA, the MSA prevails for subscribers.
2. Description of Service
QuorumVoice is a multi-tenant communication intelligence platform that captures, transcribes, categorizes, and logs inbound and outbound phone calls, voicemails, SMS messages, and emails for organizations such as HOA boards, property management companies, small businesses, schools, and nonprofits. Key capabilities include:
- Automated call recording with real-time transcription
- Inbound and outbound SMS messaging with 10DLC compliance
- Email integration via Microsoft Graph API and Gmail API
- AI-powered classification, summarization, and semantic search of communications
- Per-contact unified timeline with CRM synchronization
- Multi-tenant data isolation ensuring each organization's data remains private and separate
Information presented on the website, including pricing, feature descriptions, and plan comparisons, is provided for informational purposes and may change without notice. The definitive terms governing paid subscriptions are set forth in the Master Service Agreement.
3. Account Registration
To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately at support@quorumvoice.com if you suspect unauthorized access
Each account is associated with an organization. Organization administrators may invite additional members and assign roles (owner, admin, member, or viewer). You acknowledge that your organization's administrator may have the ability to access, manage, or restrict your use of the Service.
4. Acceptable Use
You agree not to use the website or Service to:
- Violate any applicable law, regulation, or third-party rights
- Transmit harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content
- Attempt to gain unauthorized access to other organizations' data or accounts
- Interfere with or disrupt the integrity or performance of the website or Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the website or Service for any purpose that is fraudulent, deceptive, or misleading
- Scrape, crawl, or use automated means to access the website or extract content without our prior written consent
- Resell, sublicense, or redistribute access to the Service without our prior written consent
We reserve the right to suspend or terminate your access for violations of this section, with or without notice.
5. Intellectual Property
The Service, including its software, design, logos, website content, blog articles, marketing materials, documentation, and all related intellectual property, is owned by Distinct Perspective, LLC and is protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the QuorumVoice website without our prior written consent, except for personal, non-commercial use (e.g., sharing a blog post link).
You retain ownership of all data, communications, recordings, and content that you upload or generate through the Service ("Your Content"). You grant us a limited, non-exclusive license to process, store, and display Your Content solely for the purpose of providing the Service to you. We do not claim ownership of Your Content and will not use it for purposes unrelated to delivering the Service, except as required by law or as described in our Privacy Policy.
6. AI-Generated Content
QuorumVoice uses artificial intelligence to generate call transcriptions, communication summaries, classifications, categories, and semantic search results. You acknowledge and agree that:
- AI-generated content is not guaranteed to be accurate, complete, or error-free. Transcriptions, summaries, and classifications are produced by automated systems and may contain inaccuracies
- AI-generated content should not be relied upon as the sole basis for legal, financial, medical, or other critical decisions
- You are responsible for reviewing and verifying AI-generated content before acting upon it
- We are not liable for any errors, omissions, or consequences arising from reliance on AI-generated content
7. Service Availability
We strive to maintain high availability of the website and Service but do not guarantee uninterrupted or error-free operation. The website or Service may be temporarily unavailable due to:
- Scheduled maintenance (with reasonable advance notice)
- Unscheduled outages caused by factors beyond our control, including third-party service providers, internet connectivity, or force majeure events
- Updates and improvements to the platform
We are not liable for any loss or damage resulting from website or Service downtime or unavailability. Subscribers should refer to the Master Service Agreement for uptime commitments and service level credits.
8. Limitation of Liability
THE WEBSITE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DISTINCT PERSPECTIVE, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE WEBSITE OR SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100) OR THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER.
9. Indemnification
You agree to indemnify, defend, and hold harmless Distinct Perspective, LLC and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your access to or use of the website or Service
- Your violation of these Terms
- Your violation of any applicable law or third-party rights
- Your Content or any data you transmit through the Service
10. Termination
We may terminate or suspend your access to the website or Service immediately, without prior notice, if:
- You breach any provision of these Terms
- Your use of the website or Service violates applicable laws or regulations
- We are required to do so by law or a governmental authority
Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) shall survive. Subscribers should refer to the Master Service Agreement for cancellation procedures, data export windows, and post-termination data handling.
11. Privacy
Your use of the website and Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information, and our Cookie Policy, which explains the cookies and tracking technologies we use. By accessing the website, you acknowledge that you have read and understood these policies.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.
13. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page and, where appropriate, providing additional notice (such as an in-app notification or email). Your continued use of the website or Service after changes take effect constitutes acceptance of the revised Terms.
